Terms of Use

1. About Looms

Looms is a mobile application operated by LoomsApp LLC ("Looms," "we," "us," or "our"), a company based in Maitland, Florida. Looms provides a platform for users to discover independent fashion brands, purchase products directly from brands, and interact with brand content.

By creating an account or using the app, you confirm that you are at least 13 years old and that you agree to these Terms of Use and our Privacy Policy.

2. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account
• Keep your password secure and not share it with others
• Notify us immediately at support@loomsapp.co if you suspect unauthorized access to your account
• Not create more than one personal account

We reserve the right to suspend or terminate accounts that violate these terms or are used for fraudulent, abusive, or illegal purposes.

3. User-generated content

Looms allows users and brands to submit, upload, and display content including profile photos, product images, product descriptions, and messages ("User Content").

By submitting User Content, you represent and warrant that:

• You own the content or have the rights to submit it
• Your content does not infringe the intellectual property rights, privacy rights, or other rights of any third party
• Your content does not contain illegal material, hate speech, harassment, nudity, or content that violates any applicable law

By submitting User Content, you grant Looms a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your content solely for the purpose of operating and improving the Looms platform. You retain ownership of your content.

We reserve the right to remove any User Content at our sole discretion without notice if we determine it violates these terms or is otherwise objectionable.

4. Intellectual property

All content, design, code, trademarks, logos, and materials that make up the Looms app and website — other than User Content — are the exclusive property of LoomsApp LLC or its licensors and are protected by applicable intellectual property laws.

You may not:

• Copy, modify, distribute, or create derivative works of any Looms-owned content without prior written permission
• Use Looms trademarks, logos, or brand assets without express written consent
• Reverse engineer, decompile, or attempt to extract the source code of the Looms app
• Use automated tools, bots, or scrapers to access or collect data from the platform

5. Purchases and billing

Looms enables users to purchase products directly from independent brands listed on the platform. By completing a purchase, you agree to the following:

• Payment processing — all payments are processed securely by Stripe. By providing payment information, you agree to Stripe's terms of service. Looms does not store your full payment card details.
• Order fulfillment — orders are fulfilled by the individual brand, not by Looms. Looms is not responsible for delays, errors, or issues arising from brand fulfillment.
• Pricing — prices are set by the brand and displayed in USD. Looms is not responsible for pricing errors made by brands, though we will work to resolve disputes in good faith.
• Platform fee — Looms charges brands a platform fee on each transaction. This fee is deducted from the brand's payout and is not an additional charge to buyers.
• Refunds and returns — return and refund eligibility is determined by the individual brand's policy. You may submit a return request through the app. Looms will facilitate communication between you and the brand but is not liable for refund outcomes.
• Chargebacks — if you initiate a chargeback through your bank or card issuer without first attempting resolution through Looms, we reserve the right to suspend your account pending investigation.

6. Brand accounts

Brands that create seller accounts on Looms agree to additional obligations:

• All product listings must be accurate, truthful, and not misleading
• Brands are solely responsible for fulfilling orders, managing inventory, and handling customer service for their products
• Brands may not list counterfeit, stolen, or prohibited goods
• Payouts are processed via Stripe Connect. Brands must complete Stripe's identity verification to receive payouts
• Looms reserves the right to remove listings or suspend brand accounts that violate these terms or receive excessive complaints

7. Prohibited conduct

You agree not to use Looms to:

• Violate any applicable law or regulation
• Harass, threaten, or harm other users or brands
• Post false, misleading, or defamatory content
• Impersonate any person or entity
• Spam or send unsolicited commercial messages
• Attempt to gain unauthorized access to any part of the platform
• Interfere with or disrupt the integrity or performance of the platform

8. Disclaimers

Looms is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the app will be uninterrupted, error-free, or free of viruses or other harmful components.

Looms is a marketplace platform. We are not the seller of products listed by brands and make no representations or warranties regarding the quality, safety, legality, or accuracy of any product listing.

9. Limitation of liability

To the maximum extent permitted by applicable law, LoomsApp LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the app or any transaction conducted through the platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these terms or your use of Looms shall not exceed the greater of (a) the amount you paid to Looms in the 12 months preceding the claim, or (b) $100 USD.

10. Termination

You may delete your account at any time through the app settings or by contacting us at support@loomsapp.co. We may suspend or terminate your access to Looms at any time, with or without notice, for conduct that we determine violates these terms or is harmful to other users, brands, or the platform.

11. Governing law

These Terms of Use are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Orange County, Florida.

12. Changes to these terms

We may update these Terms of Use from time to time. If we make material changes, we will notify you through the app or by email. Continued use of Looms after updated terms are posted constitutes your acceptance of the revised terms.
